1. Acceptance of Terms
By downloading, installing, or using BIDS Claim Pro or any other software or services provided by Lilybug Legal Software, LLC (“Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our software or services.
These Terms constitute a legally binding agreement between you and the Company. If you are using our software on behalf of a law firm or other organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
BIDS Claim Pro is a desktop application designed to assist Kansas indigent defense attorneys in generating BIDS TACC (Trial Appointed Counsel Claim) forms. The software provides:
- Timesheet import and parsing (PDF and Excel formats)
- Smart categorization of time entries
- Automatic calculation of billable hours and mileage
- Generation of completed BIDS TACC claim forms
- Local data storage with no cloud processing of case data
3. License Grant
3.1 Limited License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use BIDS Claim Pro on devices you own or control, solely for your professional legal practice purposes.
3.2 Per-Seat Licensing
BIDS Claim Pro is licensed on a per-seat (per-attorney) basis. Each attorney who uses the software must have their own valid license. A single license may not be shared among multiple attorneys. License keys are tied to specific user accounts and machine identifiers.
3.3 License Restrictions
You agree NOT to:
- Copy, modify, or distribute the software except as expressly permitted
- Reverse engineer, decompile, or disassemble the software
- Rent, lease, lend, sell, or sublicense the software
- Remove or alter any proprietary notices or labels
- Use the software for any unlawful purpose
- Share license keys with unauthorized users
- Circumvent or disable any license validation mechanisms
4. Subscription and Payment
4.1 Subscription Fees
Access to BIDS Claim Pro requires a paid subscription. Current pricing is $49 per month per attorney seat. Subscription fees are billed monthly in advance and are non-refundable except as required by law or as stated in these Terms.
4.2 Payment Processing
Payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for keeping your payment information current.
4.3 Price Changes
We may change subscription prices upon 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice. Your continued use after a price change constitutes acceptance of the new price.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. You will retain access to the software until your subscription expires. No refunds will be provided for partial billing periods.
5. User Responsibilities
5.1 Accurate Information
You agree to provide accurate, current, and complete information when registering for a license and to maintain and update this information as necessary.
5.2 Account Security
You are responsible for maintaining the confidentiality of your license key and account credentials. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
5.3 Professional Responsibility
BIDS Claim Pro is a tool to assist with claim preparation. You remain solely responsible for:
- Verifying the accuracy of all generated claims before submission
- Ensuring compliance with Kansas BIDS requirements and procedures
- Maintaining appropriate records and documentation
- Meeting all professional and ethical obligations
5.4 Data Backup
All case data is stored locally on your computer. You are responsible for maintaining regular backups of your data. We are not responsible for any data loss due to hardware failure, software issues, or other causes.
6. Intellectual Property
BIDS Claim Pro, including all code, graphics, user interface, and documentation, is owned by Lilybug Legal Software, LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the software.
You retain all rights to your data, including case files, timesheet entries, and generated claims. We do not claim any ownership or rights to your data.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The software will meet your specific requirements
- The software will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the software will be accurate or reliable
- Any errors in the software will be corrected
The categorization feature provides suggestions based on keyword matching algorithms. These suggestions may not always be accurate and should be reviewed before submission.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LILYBUG LEGAL SOFTWARE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Claim denials or payment delays
- Professional liability claims
- Any other pecuniary loss
ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Lilybug Legal Software, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the software
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Claims made against generated BIDS TACC forms
10. Termination
10.1 Termination by You
You may terminate your license at any time by canceling your subscription and uninstalling the software.
10.2 Termination by Us
We may suspend or terminate your license immediately, without notice, if:
- You breach any provision of these Terms
- Your payment method fails and is not resolved promptly
- We reasonably believe your use poses a security risk
- We are required to do so by law
10.3 Effect of Termination
Upon termination, your license to use the software will immediately cease. You must uninstall all copies of the software. Your locally stored data will remain on your computer unless you delete it. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
11. Updates and Modifications
We may release updates to the software from time to time. Some updates may be required to continue using the software. We reserve the right to modify, suspend, or discontinue the software at any time without notice, though we will make reasonable efforts to provide advance notice of significant changes.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles.
12.2 Dispute Resolution
Any dispute arising from these Terms or your use of the software shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Kansas, and the arbitrator's decision shall be final and binding.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lilybug Legal Software, LLC regarding your use of the software.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
13.5 Notices
We may provide notices to you via email to the address associated with your account or by posting on our website. You may provide notices to us at the contact information below.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the software after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the software.
