End User License Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING BIDS CLAIM PRO. BY CLICKING “I ACCEPT” OR BY INSTALLING, COPYING, OR OTHERWISE USING THIS SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

1. Acceptance of Terms

By downloading, installing, or using BIDS Claim Pro (“Software”), you (“User” or “you”) agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software.

If you are using the Software on behalf of a law firm or organization, you represent that you have authority to bind that organization to this Agreement.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, Lilybug Legal Software, LLC (“Company,” “we,” or “us”) grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control;
• Use the Software solely for your professional legal practice purposes;
• Generate BIDS TACC claim forms using the Software.

3. Per-Seat Licensing

The Software is licensed on a per-seat (per-attorney) basis:

• Each attorney who uses the Software must have their own valid license;
• A single license may not be shared among multiple attorneys;
• License keys are tied to specific user accounts and machine identifiers;
• Current subscription fee is $49 per month per attorney seat.

4. License Restrictions

You agree NOT to:

• Copy, modify, or distribute the Software except as expressly permitted;
• Reverse engineer, decompile, or disassemble the Software;
• Rent, lease, lend, sell, or sublicense the Software;
• Remove or alter any proprietary notices or labels;
• Use the Software for any unlawful purpose;
• Share license keys with unauthorized users;
• Circumvent or disable any license validation mechanisms;
• Use the Software to process data for parties other than your clients.

5. Data Privacy and Local Processing

The Software is designed with privacy as a core principle:

• ALL case data, client information, and generated claims are processed and stored LOCALLY on your computer;
• The Software does NOT transmit case data, client information, or document contents to our servers or any third party;
• The categorization feature runs entirely on your local machine;
• The ONLY data transmitted to our servers is license validation information (license key, machine ID, and app version) for subscription verification purposes;
• You are responsible for maintaining the security and backup of your local data.

6. Professional Responsibility

You acknowledge and agree that:

• The Software is a tool to assist with BIDS claim preparation, not a substitute for professional judgment;
• You are solely responsible for verifying the accuracy of all generated claims before submission;
• You must ensure compliance with all Kansas BIDS requirements and procedures;
• You remain responsible for maintaining appropriate records and documentation;
• You must meet all professional and ethical obligations as a licensed attorney;
• Categorization suggestions may not always be accurate and must be reviewed.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY OR RELIABILITY OF RESULTS.

WE DO NOT WARRANT THAT:

• The Software will meet your specific requirements;
• The Software will be uninterrupted, timely, secure, or error-free;
• Results obtained from the Software will be accurate or reliable;
• Any errors will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LILYBUG LEGAL SOFTWARE, LLC BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, or data;
• Business interruption;
• Claim denials or payment delays;
• Professional liability claims;
• Any damages exceeding the amount you paid in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lilybug Legal Software, LLC from any claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use of the Software;
• Your violation of this Agreement;
• Your violation of any applicable laws or regulations;
• Claims related to generated BIDS TACC forms.

10. Subscription and Payment

• Subscription fees are billed monthly in advance;
• Fees are non-refundable except as required by law;
• We may change prices upon 30 days' notice;
• You may cancel at any time; cancellation is effective at the end of your billing period.

11. Termination

• You may terminate by canceling your subscription and uninstalling the Software;
• We may terminate immediately if you breach this Agreement;
• Upon termination, your license ceases and you must uninstall the Software;
• Your locally stored data remains on your computer unless you delete it.

12. Updates

We may release updates that may be required to continue using the Software. We reserve the right to modify or discontinue the Software with reasonable notice.

13. Governing Law

This Agreement is governed by the laws of the State of Kansas, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in Kansas.

14. Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Lilybug Legal Software, LLC regarding the Software.
